Sarit Moussayoff is a partner in the firm, specializing primarily in international mergers and acquisitions and complex and extensive transactions. Ms. Moussayoff represents both Israeli as well as foreign corporations, privately held as well as publicly traded companies, financial institutions, as well as investment funds and venture capital funds in a variety of local and international transactions.
Sarit Moussayoff is a partner in the firm, specializing primarily in international mergers and acquisitions and complex and extensive transactions. Ms. Moussayoff represents both Israeli as well as foreign corporations, privately held as well as publicly traded companies, financial institutions, as well as investment funds and venture capital funds in a variety of local and international transactions. Alongside her extensive experience in general commercial law, Ms. Moussayoff specializes in mergers and acquisitions (M&A), corporate financing, investment funds, and regulation. She is also expert in transactions involving heavily regulated enterprises, such as investment firms, banks, and corporations (including foreign corporations) operating in the communications and technology industries.
Ms. Moussayoff is renowned for her professionalism in protecting her clients’ interests in their transactions; creating a system of checks and balances in each deal to the satisfaction of her clients and all parties to the transaction; conducting complex negotiations assertively, efficiently, and extremely professionally; as well as finding exceptionally creative solutions. As a result, her clientele are eager to consult with her frequently at each and every stage of negotiations, rely on her completely, and seek her opinion on all of the commercial, legal, and personal aspects of their deals.
Her clientele includes foreign investment funds, foreign corporations, financial institutions, commercial corporations from all corners of Israeli industry, some of the largest infrastructure and energy companies in Israel, etc.
Ms. Moussayoff has represented and advised, among others, a foreign investment fund in a reverse triangular merger (going private) with a medical and cosmetic laser device manufacturing company, valued at US $580 million, where she also advised on the financing; a foreign fund in a transaction for the acquisition of approximately 80% of one of the leading drip irrigation companies in the world at a corporate value of US $810 million; an energy company in a cogeneration power plant construction project supplying up to 210 megawatts, while advising the developers on the project financing agreement in the amount of approximately 2 billion shekels; a foreign investment fund in its investments in Israeli technology companies in the life sciences industry in amounts ranging between US $5 million and US $10 million per transaction; a profit yielding real estate company in a merger into a subsidiary at a value of approximately 2.5 billion shekels; and an investment firm in a merger deal in which it acquired another investment firm at an asset value exceeding 100 million shekels.
